However, eCommerce results depend on many factors beyond our control, including product quality, competition, pricing, reviews, inventory, demand, marketplace algorithms, ad auction dynamics, platform policies, and customer behavior.
We do not guarantee:
- Sales revenue
- Profit margins
- ROAS, ACoS, TACoS, ranking, or conversion rate
- Organic keyword ranking
- Listing approval or reinstatement
- Account reinstatement
- Category ranking
- Supplier pricing or quality
- Inventory sell-through
- Customer reviews
- Marketplace approval or continued eligibility
Any case studies, testimonials, metrics, or examples shown on our website are illustrative and do not promise the same results for every client.
9. Sourcing and Logistics Support
When we assist with sourcing, supplier communication, production coordination, freight planning, customs documentation review, or FBA delivery planning, our role is advisory and coordination-based unless otherwise stated in writing.
We are not a manufacturer, customs broker, freight carrier, warehouse, insurer, government authority, or product compliance laboratory. You remain responsible for:

- Performance may fluctuate due to competition, seasonality, demand, platform changes, inventory, pricing, reviews, and other market factors
11. Fees, Payments, and Billing
Fees, payment schedules, billing terms, project scope, and deliverables will be stated in the applicable proposal, invoice, statement of work, or service agreement.
Unless otherwise agreed in writing:
- Payments must be made by the due date stated on the invoice
- Work may pause if payment is late
- Fees are charged for professional services, strategy, execution, and time allocated
- Third-party costs, software subscriptions, advertising spend, supplier costs, logistics fees, taxes, duties, and marketplace charges are separate from Ecommdots service fees
- Bank charges, currency conversion fees, or payment processor fees may be the client’s responsibility
12. Refunds and Cancellations
Refunds, cancellations, pauses, and termination rights depend on the applicable written agreement, proposal, or invoice.
Because our services involve strategy, research, labor, account work, creative production, and time allocation, completed work, partial work, audit work, strategy work, and delivered assets are generally non-refundable unless otherwise agreed in writing.

We make reasonable efforts to meet agreed timelines. However, timelines may be affected by:

- Missing account access or assets

- Supplier delays
- Platform outages
- Ad account or listing restrictions

Timeline estimates are not guarantees unless expressly stated in a signed agreement.
14. Intellectual Property
A. Ecommdots Materials
Our website content, service frameworks, strategies, systems, templates, processes, internal documents, visuals, copy, designs, and branding are owned by Ecommdots or its licensors and may not be copied or reused without written permission.
B. Client Materials
You retain ownership of the brand assets, product information, logos, trademarks, images, account data, and materials you provide to us. You grant us permission to use those materials as needed to perform agreed services.
C. Deliverables
Ownership of final deliverables will be handled according to the applicable written agreement. Unless otherwise agreed, final approved creative or written deliverables prepared specifically for your brand may be used by you after full payment is received.
We may retain ownership of underlying methods, templates, know-how, concepts, processes, strategy frameworks, and non-client-specific tools used to create deliverables.
15. Portfolio, Case Studies, and Testimonials
We may request permission to use your brand name, logo, testimonial, project results, screenshots, or case study information. We will not disclose confidential client information in public marketing materials without permission, unless the information is already publicly available or allowed under the applicable agreement.
If you provide a testimonial, review, or feedback, you grant us permission to display it on our website, social media, portfolio, proposals, and marketing materials unless you withdraw permission in writing.
16. Confidentiality
Both parties may receive confidential business information during discussions or service delivery. Confidential information may include marketplace data, product plans, supplier details, advertising performance, financial information, strategy documents, account information, pricing, and internal business processes.
Each party agrees to use confidential information only for the intended business purpose and to protect it from unauthorized disclosure, except where disclosure is required by law or permitted by agreement.
17. Content Accuracy and Website Information
We aim to keep website content accurate and current, but we do not guarantee that all information, service descriptions, blog content, statistics, testimonials, pricing references, or examples are error-free, complete, or up to date.

21. Service Suspension or Termination

- Continued work creates legal, compliance, reputational, or operational risk
